1. Agreement

These Terms of Service ("Terms") govern access to and use of riwun.com and the Rivvun autonomous FinOps agent platform (collectively, the "Service") operated by Rivvun AI Pvt Ltd ("the Company," "we," "us," or "our"), a company incorporated in India with its principal office at G Block, Bandra Kurla Complex, Mumbai, Maharashtra 400051, India.

By creating an account, requesting early access, or otherwise using the Service, you ("you" or "User") agree to be bound by these Terms. If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and the word "you" includes that entity.

Nothing in these Terms limits any statutory rights you may hold under the laws of your country of residence.

2. The Service

Rivvun provides an autonomous agent that connects to your accounting data sources - including QuickBooks Online, Xero, NetSuite export, or CSV upload - reads general ledger data on a read-only basis, and surfaces variance signals such as duplicate vendor spend, pricing drift, and budget overruns. Flags are delivered via Slack, email, or the Rivvun dashboard.

The Service is currently offered in an early-access design-partner programme alongside paid subscription tiers. The feature scope available to you depends on your subscription plan as described on the pricing page.

The Service is a detection and alerting tool. It does not execute financial transactions, modify your accounting records, or provide regulated financial advice. You remain responsible for all financial decisions made in response to flags generated by the Service.

3. Use of the Service

  • You must be at least 18 years of age, or the age of legal capacity in your jurisdiction, to use the Service.
  • You agree not to use the Service for any purpose that is unlawful under applicable Indian law or the laws of your jurisdiction.
  • You agree not to interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure.
  • You may not scrape, reverse-engineer, decompile, or create derivative works from the Service except as expressly permitted by mandatory law.
  • You agree not to submit to the Service any data that you do not have the right to share, including personal data for which you have not obtained the required consent or authority.
  • You are solely responsible for ensuring that your use of the Service complies with all financial regulations applicable to your business, including any record-keeping obligations.

4. Your Accounting Data

When you connect an accounting data source, you grant the Company a limited, non-exclusive licence to access and process that data for the sole purpose of operating the Service and providing variance flags to you. We do not use your accounting data to train AI or machine learning models. We do not share your accounting data with third parties except as described in our Privacy Policy.

You represent and warrant that you have all rights and permissions necessary to connect the accounting data sources you provide, and that doing so does not violate any contractual obligation or applicable law.

You are responsible for the accuracy and completeness of accounting data you provide. The Company does not verify the underlying data and is not responsible for flags that are inaccurate as a result of erroneous source data.

5. Account and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

6. Intellectual Property

The Service, including all software, models, algorithms, interfaces, and documentation, is owned by the Company or its licensors and is protected by Indian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended business purpose during the term of your subscription.

Nothing in these Terms transfers any ownership of intellectual property from the Company to you. You retain all intellectual property rights in your accounting data and the variance flags generated from your data.

7. Fees and Payment

Paid subscription fees are charged in advance on the billing cycle indicated at sign-up. Annual plans are billed annually and provide a discount versus monthly billing as described on our pricing page. Design-partner programme participation is provided at no charge for the limited slots available.

All fees are exclusive of applicable Indian taxes (including GST). Where applicable, taxes will be added to the invoice at the prevailing rate.

The Company reserves the right to modify pricing with 30 days written notice. Your continued use of the paid Service after the effective date of a price change constitutes acceptance of the new pricing.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties, express or implied, to the maximum extent permitted by applicable Indian law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Variance flags generated by the Service are informational outputs and are not guaranteed to be complete or accurate. The Company does not warrant that the Service will be uninterrupted, error-free, or that any particular P&L signal will be detected. The Service is a detection aid, not a substitute for your finance team's judgment or your statutory audit obligations.

Mandatory statutory rights applicable under the laws of your jurisdiction are not affected by this disclaimer.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claims arising out of or related to the Service, whether in contract, tort, statute, or otherwise, will not exceed the greater of (a) the total fees you paid to the Company in the three months preceding the event giving rise to the claim, or (b) INR 10,000.

The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if the Company has been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be excluded or limited under mandatory Indian law, including liability for fraud, death, or personal injury caused by negligence.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your breach of any representation or warranty herein; (c) your violation of any third-party right, including intellectual property rights or data protection obligations; or (d) any claim that accounting data you submitted through the Service caused damage to a third party.

11. Termination

Either party may terminate the agreement at any time. You may close your account by contacting us at [email protected]. We may suspend or terminate your access for material breach of these Terms, non-payment of fees, or where continued access would create legal or security risk for the Company or other users.

On termination, your right to access the Service ceases immediately. Sections 4 (Your Accounting Data - the licence limitations), 6, 9, 10, 12, and 13 survive termination.

For paid subscriptions, no refund is provided for the current billing period unless termination is due to a material breach by the Company.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including questions regarding its existence, validity, or termination, shall be subject to the non-exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India. Nothing herein limits any mandatory consumer-protection rights you may hold under the laws of your country of residence.

13. Changes and Contact

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, for registered users, by email notification at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
